Continuation of the Legal Entity that has been Dissolved in a European Perspective
In this article Jan Schouten shall discuss the various
procedures in various Member States for the dissolution of a
company and continuation of a company that has been dissolved, with
a view to developments in European company law and the projected
harmonization of the laws of individual Member States. I will also
explain to what extent under the laws of such Member State a legal
entity that has been dissolved is entitled to enter into a legal
merger or division.
